Ltd, an affiliate of VF Worldwide Holdings Ltd( " "we", “our”, or "us"). , The Website Terms and Conditions (“Terms”) govern accessing of the Website and any services offered herein by any customer ("you", "your", " customer" or "User")including but not limited to services related to the screening and verification of academic, professional, and other certification documents submitted by users or applicants.

The User represents and confirms that the User is of legal age to enter into a binding contract and is not a person barred from availing the Services under the laws of India or other applicable laws.
By accessing the Website and/or using the Services, you expressly acknowledge that you have read, understood and agree to be legally bound by these Terms. If you do not agree to these Terms, you must refrain from using the Site and leave.
VFS reserves the right to amend these Terms at any time, with such changes becoming effective upon posting. Continued use of the Website constitutes acceptance of any such changes.
Breach of these Terms may result in suspension or termination of access and may subject you to legal action.

Services
For avoidance of doubt, the "Services" include online document verification, authentication and provision of digital locker along with all other services which are described and offered on the Website. These Terms shall also apply to any new Service/(s) offered and/or introduced on the Website from time to time. We reserve the right to amend, modify or discontinue any service at our sole discretion without any advance notice.
a. Services available to the User.
Docswallet's Global Document Verification System, available at www.docswallet.com , and www.directverify.in , serves as a platform for secure online document verification, authentication and digital locker services by facilitating the document issuer, document owner and the document user to be in a single eco-system enabling faster, cost-effective and efficient verification and authentication of documents.
b. Definitions
For avoidance of doubts, the following definitions will apply to the Services provided on the Website.
Registered Uploader means an entity, individual or a person, competent to contract under the applicable laws, who registers with the Website in the manner and in accordance with the procedure set out on the Website and subject to the Terms herein, for the purpose of uploading documents on it, the content/documents of which are stored on the server of the Website, for the purpose of digital attestation and/or verification by the Verifiers.
Registered Downloader shall mean and refer to the organizations, institutions, agencies, individuals or such other entity which shall be entitled to download from the Website, as per the Terms herein, the verified/authenticated documents submitted by a Registered Uploader to such Registered Downloader.
Verifier means organizations, institutions, agencies, individuals, universities, government bodies, schools, colleges and such other persons that are entitled to issue content in the normal course of performing its duties and responsibilities or in the course of its business and is willing to provide online authentication/verification services in connection with various documents issued by it through the Website.
Verifier Account means the account held by the Verifier with the Website comprising the Verifier ID and password created by TWIPL to enable the Verifier to perform the authentication and verification on the Websites. By using the Verifier Account, the Verifier shall be entitled to access the Website to view the requisite contents/documents issued by the Verifier and uploaded by the Registered Uploaders for online verification/authentication of the same. The Verifier shall also be entitled to view all details of valid actions using such account.
Registered Verifier shall be deemed to be a Registered Verifier on completion of the registration formalities prescribed by TWIPL for creation of the Verifier Account as defined herein. The terms "Verifier" and "Registered Verifier" may be used interchangeably throughout this Agreement where the context permits such interchangeability.
Verifier Login Details: These details mean and includes the Verifier Account login, password, security information and other details which provide the Verifier access to the Verifier Account and Verifier Fee Account on the Website.
Registered Sub-Verifier - shall mean and refer to the employee of the Registered Verifier, duly authorized by the Registered Verifier to access the Website and perform such acts as are necessary to perform the Services of the Verifier contemplated under this Agreement for and on behalf of the Verifier. Such Registered Sub-Verifier shall not be deemed to be a separate entity but shall, for all purposes herein be deemed to be the Registered Verifier and all terms and conditions specified herein shall apply to the Registered Sub-Verifier.
Verifier Fee Account- mean and refer to the details of various transactions charged and summarized in the Verifier Account in accordance with the agreed terms.
Verification Request- means a request made by a Registered Uploader, in the manner prescribed on the Website, for online verification and authentication of a specific document issued by the Verifier, uploaded by the Registered Uploader and submitted to the Verifier using the Services herein.
Website mean and refer to the URL, (owned by VF Worldwide Holdings Ltd and operated and maintained by TWIPL) www.docswallet.com , www.directverify.in, and http://www.myeasydocs.com or such other name as may be decided from time to time and includes any and all elements, contents and the "Look and Feel" of the Website.
c. Responsibilities of the parties herein:
User's Responsibilities
It is the responsibility of all User’s to read and accept and consent to abide to the terms and conditions of the Services offered before purchasing it.
You are responsible for the accuracy, authenticity and/or lawful origin of the information/documents that you upload through the Website. We are only providing administrative support for storage and verification of the documents through Registered Verifiers and are therefore not responsible for the correctness/authenticity of the documents or of the details displayed on your account or any direct/indirect or consequential damages or loss caused due to such information.
We accept no responsibility or liability for any consequences arising from the User’s uploading of inaccurate, false, forged, or otherwise fraudulent documents or materials.
In such cases, the User shall be solely liable for any resultant harm or claims by the third parties, including but not limited to the Verifiers or regulatory authorities.
We reserve the right to pursue legal action against any User who submits inaccurate, false, forged, fraudulent documentation, including but not limited to, claims for damages, costs, and reputational harm
It is your responsibility to ensure that the documents, information and additional actions (such as email, contact details if required and payment of fees) are accurate, truthful and submitted on time. While registering, the User will choose a password and is responsible for maintaining the confidentiality of the password and its User account. The User is fully responsible for all activities that occur while using their password or account. It is the duty of the User to notify us immediately in writing of any unauthorized use of their password or account or any other breach of security. We will never ask the User to share their login credentials. We will not be liable for any loss that may be incurred by the User as a result of unauthorized use of their password or account, either with or without their knowledge.
The User shall not directly or indirectly, copy, translate, modify, adapt, improve or create new all or any portion of any material on the Website.
Failure to adhere to these terms and conditions may result in immediate cancellation or suspension or termination of the User’s access to the Website.
Our Responsibilities
Routing the document through the Website after they are uploaded by the User to the selected institute/ entity for document authentication.
Storage of the verified document in User's account after payment of the fees for the Service availed by the User.
To provide the User with the verification result after the Verifier/Registered Verifier has completed the digital document authentication verification.
To provide the User an option to share the verified documents with Registered Downloaders enlisted with us.
To provide an additional option to the User to share the verified document with unregistered parties through an email id and such email id shall be provided by the User.
We may send verification confirmations, submission information, cancellation, payment confirmation, refund status or any such other information relevant for the transaction, via email or by voice call on the contact information given by the User at registration after purchasing the Services.
We may also contact the User by voice call or email in case the User couldn't or hasn't concluded Services, for any reason whatsoever, to know the preference of the User for concluding the Services and also to help the User in selecting the suitable Services. The User hereby unconditionally consents that such communications via email and/ or voice call by us is (a) upon the request and authorized by the User, (b) 'transactional' and not an 'unsolicited commercial communication' as per the guidelines of Telecom Regulation Authority of India (TRAI) and (c) in compliance with the relevant guidelines of TRAI or such other authority in India and in rest of the world. The User shall indemnify TWIPL and/or VF Worldwide Holding Ltd against all types of losses and damages incurred by TWIPL and/or VF Worldwide Holdings Ltd due to any action taken by TRAI, Access Providers (as per TRAI regulations) or any other authority due to any erroneous complaint raised by the User on/or against TWIPL and VF Worldwide Holdings Ltd with respect to the intimations mentioned above or due to a wrong number or email id being provided by the User for any reason whatsoever.
d. Prices and Payment
The fees for the Services opted by you are set out on our Website and must be paid by you at the check-out page. The Services will be activated only on your User account once the payment has been completed. At any point up until then, we may discontinue any Services without assigning any reason.
You will receive a confirmation of the Service activation and payment once we receive the payment towards the Service fee for the opted Services.
Service Fees are exclusive of taxes, but our Website shall state where any additional taxes are applicable and payable by you.
Your credit/debit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of placing your order for the Services.
e. Payment Processing, Cancellation and Refunds.
The payment processing services for Services purchased on this Website are provided by TWIPL. For clarity, any US dollar payment made by the User for the Services availed shall be received by VF Worldwide Holding Limited. Any queries or claims relating to such US dollar payment shall be directed and addressed by TWIPL.
We reserve the right to, charge transaction fees for using the Services provided on the Website. We further reserve the right to alter any and all fees from time to time, and such updated fees shall be displayed on the website.
The User shall be completely responsible for all charges, fees, duties, taxes, and assessments arising out of the use of the services 'Third Party/ies' shall mean and refer to the various agencies or universities who are associated with us and who have agreed and who are authorized to verify documents uploaded by the Users and/or to download such verified (or unverified, as the case may be) documents for a fee agreed between us and such agencies.
By using the Services provided by the Website, the User hereby agrees that any payments made for availing such services is a comprehensive payment not specifically segregated at the time of making such payment but is deemed to include payments to Third Parties (hereinafter referred to as "TPP") and payment for the Services being rendered by us (hereinafter referred to as "Service Charges"). To complete the transaction, the User will be directed to such specific Third-Party entity whose services are being utilized by us to facilitate the proposed transaction of the User in such proportion and in such manner as may be agreed between such Third Party and us.
The User further agrees that TWIPL do not have any control over the services to be provided by such Third Parties and consequently We do not have any control over any payments transferred to such Third Party. In the event of failure on the part of such Third Parties to render the services contemplated or intended by the User, the User understands and agrees that we shall not be liable to refund any payments made by the User towards TPP unless the same is refunded to us by such Third Parties nor shall the User be entitled to any compensation for any losses suffered or expenses incurred by reason of such failure or for any other reason whatsoever. On receipt of such refund from the Third Parties, We shall make all reasonable efforts to process and refund such payments to the User within such period, not being less than 14 working days therefrom. The period for refund to the User shall be suitably extended in the event of we being unable to process such payment for reasons beyond our control . The User shall not be entitled to any interest or compensation on account of any delay in refund of such payments .
In case, there is a short charging by us for, services or transaction fee or any other fee or service because of any technical or other reason, it reserves the right to deduct/charge/claim the balance subsequent to the transaction at its own discretion. The balance amount shall be an acknowledged debt due and payable to us by the User and the User shall make such payment within seven days of receipt of any such demand from us.
In the rare possibilities of the verification not getting confirmed for any reason whatsoever, we will process the refund as per the terms and conditions of the Verifier and intimate you of the same. Docswallet will process the refund once it receives the refund from the Verifiers. We are not under any obligation to make a re-verification request in lieu of or to compensate/ replace the unconfirmed verification. All subsequent further verifications will be treated as new transactions with no reference to the earlier unconfirmed verification. The User acknowledges that Docswallet only provides a administrative services through its website to facilitate the User to reach the Verifier. The decision with respect to the documents uploaded by the User is purely based on the discretion of the Verifier and therefore the User agrees that Docswallet shall not be responsible for the decision of the Verifier with respect to the User’s documents.
Docswallet shall also not in any manner be liable to pay any compensation for any loss suffered on any account whatsoever by the User on account of non-confirmation of the transaction. We shall be liable solely for refund of such amount and shall not in any manner be liable to pay any compensation for any loss suffered on any account whatsoever by the User on account of such unconfirmed verification.
“If the User is not satisfied for any reason with the Services, the User may request a refund after 90 days provided the electronic document verification or submission process has not been completed, subject to the terms and conditions of the Verifier. Refunds will be processed within 15 days once the refund process has been initiated. The completed electronic document verification or submissions are non- refundable.”
The User agrees that in situations due to any technical or other failure of the Website, Services committed earlier may not be provided or may involve substantial modification. In such cases, we shall refund the entire amount received from the User for availing Services, which shall completely discharge any and all our liabilities against such non-provision of services or deficiencies.
f. Changes to the Procedures
The Services provided by us and its availability may change from time to time. We will post information about any changes on the Website. We are continually seeking to improve the Services offered. We reserve the right, at our sole discretion, to make changes to any part of the Services, as described on our Website, as may be required or found necessary, discontinue any Services or add new Services, as the case may be.
g. No Commercial Use
The Services are intended for and shall only be available for non-commercial and domestic use by individual users. You are prohibited from use of the Website for commercial purpose including sales, advertising, or solicitations without our prior written consent.
h. Limitation of Liability
The Services provided herein are “as is”. We do not guarantee uninterrupted access, nor do assume any liability:
We shall have no liability (including in contract or for negligence) to any User directly or indirectly, or any other person relying on or benefiting from any service for: any loss of profit, revenue, contract, business, profession, or other occupation; for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever. This exclusion of liability includes but is not limited to where the loss is caused by delay, disruption of the network provider or external factor, misplacement, loss or damage of documents or unauthorised use due to User security lapses.
Our liability to you under these terms for any losses relating to or arising in connection with Services provided to you under these terms and whether based on an action or claim in contract, negligence, tort, misrepresentation (other than fraudulent misrepresentation) breach of statutory duty or otherwise shall be limited to a maximum amount equal to the Service Fees paid by you in connection with the Services to which such claim relates and in any event our liability shall only arise if such liability is solely and directly attributable to the gross negligence or wilful default on our part. And for the avoidance of doubt:
1. No Liability for Incorrect Information
The User agrees that our sole responsibility is to provide a platform for the User, Verifier and the Downloader for ease of uploading and downloading authenticated and verified documents for the User. The documents downloaded by the User with " Seen Verified" mark are the authentic documents issued, verified and uploaded by the Verifier or its authorized representatives and no further authentication/verification is required from the Verifier. The User acknowledges and agrees that any issues or claims related to or arising out of the use of the digitally certified documents, shall be raised on the Verifier and in no event shall TWIPL or VF Worldwide Holdings Ltd or its affiliates or its representatives shall be liable for any such claims or damages.
We are not responsible under any circumstances for loss, delays or non-issuance of any document arising from or in connection with incomplete, inaccurate, forged, incorrectly, wrongfully or falsely completed documentation or Users, the Uploader’s, Downloader’s or Verifier’s incorrect understanding of the requirements or documents to be submitted/ downloaded or subsequent responses provided to request for further information /documentation
2. No Liability for Events Outside of Our Control (Force Majeure)
The User agrees that there can be exceptional circumstances where we or the Verifiers or Downloaders or concerns may be unable to perform the Services requested due to various reasons beyond our control or such Verifiers or Downloaders including without limitation: acts of God, extreme weather condition or other natural disaster, epidemic or pandemic, cyber-attack, terrorist attack, war, sanctions, embargo, export or import restrictions, failure to grant a necessary license or consent, collapse of buildings, explosion accidents, labour or trade disputes, strikes, industrial action or lockouts, interruption or failure of utility service. . If we are informed by Verifier or Registered Downloader or Registered Uploader by any other sources, in advance, of such situations where interruption of requested Services may happen, it will make reasonable efforts to provide alternatives. The User agrees that we are only providing a platform for facilitating document verification and submission shall not be liable for non-performance or delay or any loss or damage to the documents during occurrence and subsistence of force majeure event.
3. No Liability for Wasted Costs and Expenses
We shall have no liability under any circumstances to any User, or any other person relying on or benefiting from the Services, for any commitment, cost or expenditure incurred in reliance on or anticipation of receiving the document, whether within a particular period or at all, including but not limited to air travel, hotel, and other travel and accommodation arrangements, and any other arrangements made.
i. Confidential information
Confidential Information includes user-submitted data, access logs, and any data collected during registration or authentication use. Access to confidential information shall be granted only on a need to know and need-to-use basis, in compliance with applicable laws.
j. Jurisdiction and Applicable Law
Nothing in these terms of service shall benefit or be enforceable by any person other than the User himself/herself. Any dispute arising out of these terms of Services shall be submitted to the exclusive jurisdiction of the courts of Mumbai, India.
These terms of Services and any disputes or claims whatsoever in relation to the same shall be governed and construed in accordance with the laws of India. TWIPL makes no representation that the Website or its content is appropriate or available for use in other jurisdictions. Users accessing the Website from outside India, if any, are solely responsible for compliance with applicable local laws.
k. Changes in the Terms and Conditions
You hereby accept and confirm that you have read, understood and agreed to be bound by, without limitation or qualification, all of the terms, conditions and details provided herein. TWIPL reserves the right to, in its sole discretion, may change, amend, cancel or withdraw any or all the terms of Services mentioned herein at any time without any prior notice. No employee of TWIPL or its affiliate has any authority whatsoever to change/amend /amplify or withdraw any or all the terms of Service mentioned herein without the prior written approval of Docswallet.

f. Availability of the Website
Although we aim to offer you the best service possible, we make no promise that the services at the Website will meet your requirements. We cannot guarantee that the Service will be free from faults, viruses and malwares.
